Premium of Share under Thai Law

Par value was prescribed that must be at least Baht 5 per share and these shares are unable to sell lower than par value anyway without restriction on over sale of par value.

The amount that is over par value is called “Premium”. This premium has no restriction on value; company can make up depend on its goodwill, ability in their business including the will of investor.

Although there is no restriction on the value of premium, the authorization to sell shares with premium (sector 1105) must be prescribed in the Memorandum of Association of the company.

And must be known that this premium is the part of shared capital, therefore it is unable to be paid as company’s dividend.
